Adoption of the Organization, Management and Control Model, in accordance with Legislative Decree 231/01

Castellini Officine Meccaniche Srl is aware of the need ensure fairness and transparency are maintained in
conducting
the company’s business and activities in order to safeguard its position and image. As a result, it has
decided to
adopt
the Organization, Management and Control Model stipulated by Legislative Decree 231/2001 as amended, which
it feels
reflect the company’s own policies.
The above legislative decree rendered organizations responsible for offences committed in their interest
and/or to their advantage by staff members (management, employees etc). This responsibility is excluded
where the
company can prove that, prior to the fact, it adopted and enforced “organization and management models
geared
towards
preventing offences of the kind which occurred.”
The same decree stipulated the creation of a “Supervisory Body” within organizations. This Body is tasked
with supervising how the model is implemented and its effectiveness. It also ensures the Model is observed
and
updated.
The Company’s Board of Directors approved the Organization, Management and Control Model and appointed the
Supervisory Body on 07 March 2019.
The Model has been adopted to formalise the Company’s aim of pursuing a business policy inspired by
principles of fairness and legality. In so doing it has equipped itself with organizational and management
protocols,
and an internal control system designed to prevent the offences set out in Legislative Decree 231/2001.
In particular, the Code of Ethics has been drafted to map out the Company’s ethical values, and must be
respected to
ensure personal and collective behaviour and operations are conducted fairly and with integrity. This
shall apply
within
the work environment, in relationships with colleagues and interactions with third parties.
The Disciplinary System aims to discourage unfair and/or unlawful practices by Company staff members and
other recipients, by punishing conduct in breach of the Model and the Protocols designed to safeguard fair
and
lawful
conduct in fulfilling work or contractual services.
We aim to ensure all employees continue to foster conduct and fulfil their professional role in the
Company
whilst closely adhering to the principles and values contained in the above Code of Ethics.
